WHY CORPORATE GOVERNANCE DESERVES SEVERE AND

Within their article, " Learning From Ancient Athens: Demarchy and Corporate Governance” (this issue), Zeitoun, Osterloh, and Frey contribute a good summary of the debates about corporate governance and suggest a new way to involve stakeholders in governance. Picking up from their discussion in corporate governance, this conventional paper raises 4 issues. First, different kinds of companies should have different kinds of governance guidelines. In particular, large global organizations are so crucial and so distinctive that they deserve special believed. Second, humanity must collection priorities between goals. Governance policies that enable someone corporation to operate effectively at the moment may cause long lasting harm to mankind and the globe, and procedures that profit humanity as well as the earth may possibly harm specific corporations. Not necessarily clear who should arranged such priorities. Third, ideas about governance should consider technological and sociable changes which have been propelling businesses toward entirely new forms. Much of the argument about company governance offers focused on concerns relating to 20th-century organizations and 20th-century communities, and significant changes in governance will take many years to take result. Last, planks of administrators exercise somewhat weak governance in comparison with governance by bureaucratic hierarchies. Thus, it is essential to improve managerial governance. As commercially and politically neutral institutions that emphasize open, fact-based dialogue, universities could usefully improve the quality of governance by senior management as well as outside stakeholders.

of governance by managing scholars. Management scholars needs to be among the market leaders of discussions about appealing changes in corporate and business governance. This important activity should not count solely in judges and politicians. Although debates

with a wide range of diverse ideas, scholars have
